General Terms

This is an English translation of the legally binding Dutch version.

1. Scope

These terms apply to all services provided by these sides UP, including exhibition setup and installation, art handling, technical production, and related consulting or on-site work. these sides UP provides a service, not a product.

2. Quotes and agreement

A quote is valid for 30 days unless stated otherwise. The agreement starts once both parties confirm the assignment in writing (email is sufficient).

If no fixed price is agreed, work is charged in units of 30 minutes. An estimated duration may be given, but is never a guarantee: assignments are often complex and this specific setup may never have been carried out before. The risk of the actual time exceeding the estimate lies with the commissioner.

3. Responsibilities of the commissioner

The quality, timing, and outcome of the work depend on what the commissioner provides. The commissioner is responsible for providing, on time and in the format agreed:

• All materials, artworks, and equipment needed for the job
• Complete plans, drawings, or layouts
• A clear assignment description and any special requirements
• Access to the venue and any permits or approvals needed

If what the commissioner provides is incomplete, incorrect, or late, these sides UP cannot guarantee the planned result, timeline, or cost.

4. Time-critical deadlines

Some assignments are tied to a fixed moment — an exhibition opening, a shipment date, an event. For these:

• these sides UP will give the commissioner a deadline for receiving all materials, plans, and information needed to do the work.
• If these sides UP does not receive everything by that deadline, these sides UP is not responsible for any resulting delay, including missed openings, shipments, or events.
• Extra costs from late or incomplete input (rush fees, overtime, rescheduling) are for the commissioner's account.

5. Changes to the assignment

Changes requested after confirmation (different scope, design, construction, materials, or timing) may affect the price and schedule. these sides UP will inform the commissioner before proceeding.

6. Liability

these sides UP works carefully and to a professional standard. However:

• these sides UP is not liable for delays or defects caused by materials, plans, or information provided by the commissioner.
• Liability for any proven fault by these sides UP is limited to the fee for the assignment in question.
• these sides UP is not liable for indirect or consequential damage (e.g. lost revenue, reputational damage).
• Damage to artworks or materials caused by a pre-existing or hidden defect, or by handling instructions given by the commissioner, is not the responsibility of these sides UP.
• these sides UP is not liable for loss of or damage to artworks or materials caused by an external transport company or other third party engaged for the assignment.

7. Insurance

The commissioner is asked to confirm that artworks and materials are insured during transport, storage, and installation. Unless separately agreed, these sides UP does not provide insurance coverage for the commissioner's property.

8. Cancellation

If the commissioner cancels after confirmation, these sides UP may charge for work already done and time already reserved for the assignment.

9. Payment

Invoices are payable within 14 days, unless agreed otherwise.

10. Applicable law

Dutch law applies. Disputes will be submitted to the competent court in the Netherlands.
